Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and the operators of Dax ("Dax," "we," "us") governing your use of the Dax macOS application and the getdax.app website (together, the "Service"). By downloading, installing, or using Dax, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and invite-only access

You must be at least 13 years old to use Dax. Dax is offered on an invite-only basis. Access is tied to an invite code that we issue and to the personal access token stored on your Mac after you redeem it. You are responsible for keeping your invite code and token confidential and for all activity that occurs under them. Do not share, sell, or transfer your invite or token, and tell us promptly if you believe either has been compromised.

2. License to use Dax

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use Dax on Macs you own or control, for your own personal or internal business use. We reserve all rights not expressly granted.

You may not: (a) copy, resell, sublicense, rent, or redistribute the Service; (b) reverse engineer, decompile, or disassemble the app except to the extent this restriction is prohibited by applicable law; (c) circumvent, disable, or interfere with the invite system, usage allowances, security, or rate limits; (d) use the Service to build a competing product; or (e) remove or alter any proprietary notices.

3. Acceptable use

You agree not to use Dax to create, upload, transmit, or generate content that:

  • is unlawful, infringing, defamatory, or violates the intellectual property, privacy, or other rights of anyone else;
  • contains another person's private or personal data that you do not have the right to share or process;
  • is malicious code, or is intended to disrupt, overload, scrape, or gain unauthorized access to the Service or its providers;
  • harasses, threatens, or exploits others, or depicts sexual content involving minors; or
  • violates the terms or acceptable-use policies of the third-party AI providers that power the AI tools.

You are solely responsible for the content you submit and for how you use anything the Service returns. We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service or others.

4. Your content and the links you create

You retain ownership of the text, images, files, and other material you submit ("Your Content"). You grant us a limited license to host, process, and transmit Your Content only as needed to operate the Service and deliver your result — for example, uploading a file so a shareable link can be returned, or passing text to an AI provider to generate an answer. We do not use Your Content to train models, build advertising profiles, or sell it.

Image to URL, File Drop, and Generate Image create public links: anyone with the URL can access that content. You are responsible for what you make public this way — do not upload material you lack the rights to share or would not want reachable by link. Uploads expire after about 90 days, and you may request earlier removal by contacting us. Details of what is sent and retained are in our Privacy Policy.

5. AI tools and third-party providers

Several tools — including Ask AI, AI Text Transform, Image to Prompt, Image Ask, and Generate Image — are powered by third-party AI model providers reached through services such as OpenRouter and image-model providers. When you use these tools, the content of your request is passed to the relevant provider under its own terms and privacy policy. Their availability, behavior, and output are outside our control.

AI output can be inaccurate, incomplete, offensive, or otherwise unsuitable, and may not be unique to you. You are responsible for reviewing and verifying any output before relying on it, and you should not rely on it for professional, legal, medical, financial, or other critical decisions. We make no warranty as to the accuracy or fitness of AI-generated results.

6. Allowances, availability, and changes

Access is currently provided on an invite basis and may include monthly usage allowances. We may change, limit, suspend, or discontinue any part of the Service — including allowances, features, invites, or the AI providers used — at any time, with or without notice. We are not liable to you for any modification, suspension, or discontinuation of the Service. If we introduce fees in the future, we will make the terms of those fees available before they apply to you.

7. Intellectual property

The Service, including the Dax application, the getdax.app website, and the Dax name, logo, and branding, is owned by us and protected by intellectual-property laws. Except for the limited license in Section 2, these Terms grant you no rights in our intellectual property. Dax includes third-party and open-source components (for example, the Sparkle update framework) that are licensed under their own terms, which continue to apply.

8. Privacy

Our handling of data is described in the Privacy Policy at getdax.app/privacy, which is incorporated into these Terms by reference. By using the Service you also agree to that policy.

9. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any content, link, or AI output will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty U.S. dollars (US$50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access, invite, or token at any time if we reasonably believe you have violated these Terms or to protect the Service, other users, or our providers. On termination, the license in Section 2 ends and you must stop using the Service; the sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to another agreed process. Nothing here limits any mandatory consumer-protection rights you have where you live.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the date above, and material changes may also be noted in the release notes of the update that introduces them. Your continued use of the Service after changes take effect means you accept the updated Terms.
